Say-on-Pay is an advisory vote and the Board and Company welcome the scrutiny and input. Johnson Outdoors adheres to the best practices in its compensation policies and programs, and in fact, adopted many of the new say-on-pay requirements years ago, such as: a Compensation Committee comprised of independent directors; no golden parachutes and a rigorous director nomination process. We follow a rigorous, independent process, meet the highest governance standards, adhere to a pay-for-performance philosophy which directly ties executive compensation to Company performance and ultimately translates into enhanced shareholder value. Although Johnson Outdoors was not required to institute say-on-pay votes until 2013, the Company began to do so two years ago and in both years, the major independent proxy advisory firms both recommended a vote FOR JOUT executive compensation based on their own, completely independent analysis.
